Ries Biologicals, Inc. (Ries) supplied medical goods to Dialysis Management Systems, Inc. (DMS). When DMS accumulated a significant debt ($42,000), Ries refused further credit shipments, demanding cash on delivery. The Bank of Santa Fe (Bank), a major creditor of DMS (holding over $500,000 in loans, some only partially guaranteed or unguaranteed), sought to keep DMS operational. Philip Levitt, a senior vice-president at the Bank managing the DMS loans, orally agreed that the Bank would guarantee payment for future Ries shipments to DMS if Ries obtained prior approval from Levitt for each order. Relying on this guarantee, Ries resumed credit shipments, sending invoices directly to Levitt at the Bank. Ries obtained Levitt’s approval for shipments made between early 1980 and July 30, 1980. Despite the approvals and shipments, the Bank failed to pay the full amount due ($20,276.69). Ries sued the Bank to recover the unpaid balance plus interest and attorney’s fees. The trial court found for Ries.
