Definition of roadshow

Roadshows are presentations given by a company's management to promote the sale of their securities to potential investors. These presentations are usually given during the waiting period after the company has filed their registration statement but before it has been approved by the Securities and Exchange Commission (SEC).

During an initial public offering (IPO), companies are allowed to make oral offers to sell their securities during the waiting period. Roadshows are considered oral offers for the purpose of Section 5 of the Securities Act, which limits gun jumping, or offers to sell securities prior to having an effective registration statement.

During a roadshow, the company's management explains to potential investors the securities being offered and why the company is offering them. They may also discuss the company's business operations and answer questions from potential investors. Roadshows can be conducted in person, over the phone, or virtually.

ABC Company is planning to go public and wants to sell shares of their stock to investors. They schedule a roadshow where their management team will give a presentation to potential investors about the company's financials, growth prospects, and the benefits of investing in their stock. During the presentation, the management team will answer questions from potential investors and try to convince them to buy shares of ABC Company's stock.

This example illustrates how a roadshow is used by a company to promote the sale of their securities to potential investors. The management team gives a presentation to explain the benefits of investing in the company and answer any questions that potential investors may have.
